Terms of Use (Users)Effective Date: 15 August 20261. IntroductionWelcome to Kursago (the "Platform," "we," "us," "our"). Kursago operates a request-and-match booking service: you submit a request for a ride or rental (a "Booking Request"), Kursago makes that request available to its network of independent Asset Providers, Chauffeurs, and licensed third-party transfer services (together, "Service Providers"), and a Service Provider then claims and commits to performing it. These Terms of Use ("Terms") govern your access to and use of the Platform as a User.Kursago is not a transport operator, car rental company, boat charter operator, or air carrier. The actual rental or transport service is always performed by an independent, appropriately licensed Service Provider, not by Kursago. However, unlike a simple listings marketplace where you pick and pay a specific, already-identified provider, Kursago itself undertakes to you, in its own name, to arrange that a Service Provider performs your Booking Request - see Section 5 for exactly what this means for your rights and for who you are contracting with at each stage.You can submit a Booking Request in more than one way: directly through the Platform (website), or through Kursago's official concierge channels on Telegram and WhatsApp. [FUTURE: a dedicated Kursago mobile application is planned; once launched, it will be added as a further Channel and this section updated accordingly.] Wherever you submit your Booking Request, the same Terms apply - see Section 9a (Booking Channels) for how this works in practice.By registering an account, browsing, or submitting a Booking Request through any Channel, you agree to these Terms. If you do not agree, you must not use the Platform or any other Channel.2. Definitions"Platform" - the website at kursago.com and any associated applications. "Channel" - any means through which you may submit a Booking Request or otherwise interact with Kursago in relation to a Booking Request, including the Platform, Kursago's official Telegram and WhatsApp accounts (Section 9a), and, once launched, the Kursago mobile application. "Company," "Kursago," "we," "us" - Portalio S.R.L. (Section 4). "User," "you" - any natural or legal person who registers an account or makes a Booking as a customer. "Asset Provider" - an individual or business that lists a car, bike, boat, or private jet for rental on the Platform. "Chauffeur" - an independent professional driver/operator who provides driving/piloting services through the Platform, whether engaged directly by an Asset Provider, registered independently on Kursago, or supplied via a Partner Service. "Partner Service" - a third-party licensed transfer, chauffeur, or mobility operator (e.g., the partner brands shown on the Platform) whose capacity Kursago makes bookable through the Platform. "Service Provider" - collectively, the Asset Provider, Chauffeur, and/or Partner Service actually performing a given Booking. "Asset" - the car, bike, boat, or private jet being rented or booked. "Booking Request" - your request for a ride or rental, submitted and paid for through the Platform before any Service Provider has been identified or has committed to performing it. "Match" or "Match Confirmation" - the point at which a specific Service Provider claims and commits to a Booking Request, confirmed to you by Kursago. "Booking" - a Booking Request that has reached Match Confirmation. "Kursago Undertaking" - Kursago's contractual commitment to you, made when you submit and pay for a Booking Request, to use reasonable efforts to arrange a suitable Service Provider to perform it, and to refund you in full if no Service Provider is matched (Section 5). "Commissionaire" - the legal capacity in which Kursago acts under Article 1731 et seq. of the Italian Civil Code: contracting with you in Kursago's own name, but for the account of the Service Provider ultimately matched to your Booking Request (Section 5). "Consumer" - a User who is a natural person acting outside their trade, business, craft, or profession. 3. ScopeThese Terms govern your use of the Platform as a User - browsing, registration, and making Bookings. They do not govern: (a) our processing of personal data (Privacy Policy); (b) cookies (Cookie Policy); (c) cancellations and refunds (Refund & Cancellation Policy, incorporated by reference); or (d) the rights/obligations of Asset Providers or Chauffeurs, which are governed by separate documents currently in preparation.4. The Nature of Your Contract - Please Read CarefullyThis section is unusually important, because Kursago's model is not a simple "browse a listing and pay its owner" marketplace. Please read it carefully.(a) At the moment you pay, your only contract is with Kursago. When you submit a Booking Request and pay, no specific Service Provider has yet been identified or has committed to performing it. You are not, at that moment, contracting with any Asset Provider, Chauffeur, or Partner Service. You are contracting with Kursago alone, and what you are buying is the Kursago Undertaking: Kursago's commitment to use reasonable efforts to find and arrange a suitable, properly licensed Service Provider to fulfil your Booking Request, and to refund you in full if it cannot do so (Section 14).(b) Kursago acts as Commissionaire. In arranging your Booking Request, Kursago acts as Commissionaire - contracting with you in its own name (Article 1731 et seq. of the Italian Civil Code), but for the account of the Service Provider ultimately matched to perform it. Practically, this means: (i) Kursago, not a named third party, is your direct contractual counterparty for the purpose of getting your Booking Request arranged and paid for; and (ii) once a Service Provider is matched (Section 14), that Service Provider is contractually bound to Kursago (under the separate Terms for Service Providers / Terms for Chauffeurs/Drivers) to perform the service Kursago has undertaken to you - the Service Provider does not separately contract directly with you as a matter of these Terms, although you interact with them directly when the service is performed.(c) What this means for your rights. Because Kursago is your direct counterparty for the arranging function:If no Service Provider is matched to your Booking Request within the matching window described in Section 9 (up to 48 hours before your scheduled departure/service time), you are entitled to a full refund as of right - this is not a discretionary goodwill gesture, it is Kursago failing to deliver what you paid for (see the Refund & Cancellation Policy, Section 2a). If a Service Provider is matched but then fails to perform (no-show, unsafe conduct, unlicensed operation, or the service is materially different from what was represented), you are entitled to a full or partial refund under the Refund & Cancellation Policy, Sections 5–7, and Kursago will pursue recovery from the Service Provider on its own account, not as a condition of your refund (Section 21 below). For matters of on-the-ground performance once a Match is confirmed - the standard of driving, the physical condition of the Asset, the conduct of the individual performing the service - the Service Provider is responsible as a matter of fact and of their own agreement with Kursago, and Kursago's liability for those specific matters is addressed in Section 21. (d) Payment handling and VAT treatment. If you submit your Booking Request through the Platform (website), you pay the full price at that time (a "Prepayment"). If you submit your Booking Request through Kursago's Telegram or WhatsApp concierge channels (Section 9a), you may instead pay a full or partial Prepayment, as agreed with our concierge team for that specific Booking Request; where a partial Prepayment is agreed, the balance is payable [CONFIRM: before Match Confirmation / before the service is performed / on whatever schedule the concierge team agrees with you - this needs to be stated consistently at the time of booking]. In either case, you are contracting with, and paying, Kursago in its own name, consistent with Kursago acting as Commissionaire (Section 5(b)).Funds are processed via Revolut (the "Payment Facilitator") for card and wallet payments; we use a regulated third-party Payment Facilitator as an operational safeguard and for reconciliation purposes, even though, because Kursago contracts in its own name as Commissionaire, this payment flow is generally treated as Kursago's own trade receivable rather than third-party client funds in transit.Because Kursago is deemed under Article 28 of the EU VAT Directive (2006/112/EC) to have received and supplied the service itself when acting as Commissionaire, Kursago will invoice you for the full price, inclusive of applicable VAT, and will separately receive an invoice from the Service Provider for their share.After the service is performed, the Payment Facilitator releases the Service Provider's share to them and Kursago's margin to Kursago, per Section 15 (Payment).6. Acceptance and AmendmentsPlacing a Booking or creating an account - through the Platform or through any other Channel (Section 9a) - constitutes acceptance of these Terms, with the same legal effect as a signature, consistent with Articles 1326 and 1336 et seq. of the Italian Civil Code. This applies equally whether you confirm your Booking Request by clicking through the Platform's checkout or by sending a message confirming your request and payment through Telegram or WhatsApp. We may amend these Terms from time to time; changes apply prospectively and do not affect Bookings already confirmed. Material changes will be duly notified.7. EligibilityYou must be at least 18 years old and have full legal capacity to contract to register an account or make a Booking. Additional eligibility rules apply to specific Asset categories - see Section 11 (self-drive) and Section 12 (licensing).8. AccountsYou are responsible for the accuracy of your registration information and for safeguarding your account credentials. We may suspend or terminate accounts for breach of these Terms, suspected fraud, or as required by law, without affecting Bookings already confirmed, subject to the Refund & Cancellation Policy.9. Asset Categories and How Booking WorksKursago currently offers Booking Requests across two categories: cars and boats. References elsewhere in these Terms to bikes or private jets (e.g., Sections 11–12) describe how those categories will be governed once launched; they are not currently bookable.To submit a Booking Request, you specify the Asset category/service you need, your dates/times and location, and any preferences (e.g., driver/chauffeur where optional - Section 10). You will see an estimated or fixed price before you confirm and pay, and you will have the opportunity to review and correct input errors before submitting. Submitting and paying for a Booking Request forms the Kursago Undertaking described in Section 5 - it does not mean a specific Service Provider has agreed to your request yet; that happens at Match Confirmation (Section 14).Matching window. You should submit your Booking Request at least 72 hours before your planned departure/service time, to give Kursago a reasonable opportunity to find a match. Once matched, Kursago will reveal the Service Provider's details to you no later than 48 hours before the departure/service time. If no Service Provider has been matched by that 48-hour point, your Prepayment is automatically refunded in full - see Section 14(d) and the Refund & Cancellation Policy, Section 2a.9a. Booking Channels - Website, Telegram, and WhatsAppIn addition to the Platform (website), you may submit a Booking Request directly through Kursago's official Telegram and WhatsApp concierge accounts. When you book through Telegram or WhatsApp, our team (or an automated concierge bot, if used) will collect the same information the Platform would collect (Asset/service type, dates, location), confirm the price, and send you a payment link or request that routes through the same payment flow described in Section 5(d) - you do not pay via the chat app itself.The same rules apply regardless of Channel: the age/eligibility requirement in Section 7, the Kursago Undertaking and Commissionaire structure in Section 5, the matching process in Section 14, and the Refund & Cancellation Policy all apply identically to a Booking Request submitted via Telegram or WhatsApp as to one submitted via the Platform. Age and identity verification for Bookings made via any Channel, including Telegram and WhatsApp, is handled through a specialised third-party KYC/AML service provider, consistent with the verification standards applied platform-wide.Telegram and WhatsApp are third-party services operated by Telegram FZ-LLC and WhatsApp Ireland Limited/Meta respectively, not by Kursago. Your use of those apps is also subject to their own terms and privacy practices, and Kursago is not responsible for their availability, security, or any data-handling practices beyond Kursago's own conduct within the chat (which remains governed by the Privacy Policy).If Kursago later launches a dedicated mobile application, it will be added as a further Channel under the same principles, and this section will be updated to reflect it.10. How the Driver/Chauffeur Is SourcedWhere your Booking Request includes a driver, pilot, or skipper, it becomes available for claiming by one of three channels, and the specific individual/entity that ultimately claims it will be identified on the Match Confirmation:(a)the Asset Provider themselves, driving/operating the Asset they listed;
(b)an independent professional Chauffeur registered and verified on the Platform, engaged for that specific Booking; or
(c)a Partner Service - a third-party licensed transfer/chauffeur operator whose capacity is booked through Kursago.
Regardless of channel, Kursago requires that any individual driving/piloting an Asset for a fee holds the licences and authorisations required under applicable law (Section 12), and we carry out reasonable verification checks - including license and registration checks at onboarding - before a Chauffeur or Partner Service is made bookable. Kursago does not itself employ Chauffeurs; they act as independent Service Providers.11. Self-Drive RentalsSelf-drive is currently available only for boats, on a limited basis, while Kursago finalises insurance arrangements for other Asset categories.For self-drive boat rentals: you may be required to hold an appropriate licence under Italian law (this is confirmed listing-by-listing, since requirements vary with the boat's engine power, tonnage, and distance from shore under the Codice della Nautica da Diporto), meet any minimum age set by the Asset Provider, and comply with all applicable navigation, safety-equipment, and maritime law requirements.Self-drive is not currently offered for cars, bikes, or private jets (jets in particular require a licensed pilot/operator under aviation law regardless of self-drive policy - see Section 12).12. Licensing and Regulatory Compliance of Service ProvidersKursago requires all Service Providers to hold the licences and registrations required by applicable law for the service they offer, including, as applicable:Chauffeur-driven car transport in Italy: an NCC ("Noleggio Con Conducente") licence or equivalent authorisation, and compliant vehicle registration/insurance. Boat charter/skipper services: applicable Italian maritime/nautical licensing (Codice della Nautica da Diporto) and vessel registration/insurance. Private jet charter: an Air Operator Certificate (AOC) issued under EU Regulation (EC) No 1008/2008 (or equivalent for non-EU operators), held by the operating Partner Service - Kursago does not and cannot itself hold or substitute for an AOC, and private jet Bookings are always fulfilled by an appropriately licensed third-party air carrier. We take reasonable steps to verify these credentials at onboarding and on an ongoing basis via our licensed service providers, but Kursago does not guarantee continuous compliance by a Service Provider and is not a licensing or regulatory authority. If you become aware that a Service Provider is operating without proper licensing, please report it immediately to team@kursago.com. We also encourage you to verify a Service Provider's licence before use.13. Pricing and PaymentPrices shown at the time you submit a Booking Request are fixed at that point, inclusive of applicable VAT per Section 5(d), in Euros (€). Accepted payment methods are Mastercard, Google Pay, Apple Pay, and Binance Pay/other supported cryptocurrencies. Card and wallet payments are processed via Revolut (Section 5(d));Crypto processing:DREAM FINANCE OÜ - Cryptocurrency payments (other than Binance Pay) are processed through our payment partner Dream Finance OÜ (https://cryptoprocessing.com). When you choose to pay with cryptocurrency, you will be redirected to Dream Finance OÜ's secure payment interface to complete your payment; your payment obligation to us is satisfied once Dream Finance OÜ confirms successful receipt of payment.ETERNA FINANCE SRL - Payments made via Binance Pay are processed through our payment partner Eterna Finance SRL (https://eterna.finance).For cryptocurrency payments, exchange-rate and KYC principles consistent with your other platforms apply. Where a Booking requires a security deposit (Section 11), the deposit is authorised/held and released per the terms shown at the time of your Booking Request.13a. Additional Charges and Price AdjustmentsThe price confirmed at Match Confirmation (Section 14(c)) may be increased after the Booking is confirmed, in the following circumstances only:(a)Waiting time. If pickup is delayed for reasons outside the Service Provider's control - for example, a delayed flight or train, or you are not ready at the agreed pickup time/location - the Service Provider may charge for the additional waiting time, at the rate shown on your Booking listing or, where none was shown, a reasonable rate consistent with the Booking's overall pricing.
(b)Additional services requested during the Booking. If you ask for something beyond what was confirmed at Match Confirmation - for example, an extended rental period, additional stops, or additional passengers/luggage requiring a different vehicle configuration - the Service Provider may charge for the addition.
In both cases, the Service Provider submits the additional charge through the Platform. Kursago, acting as Commissionaire (Section 5(b)), then invoices you for the additional amount and processes payment via the Payment Facilitator (or crypto processor, as applicable) using your payment method on file - the same mechanism used for your original Prepayment. [CONFIRM: whether additional charges above a set threshold require your active confirmation before being charged, or whether Kursago may charge automatically with notice sent afterward - recommended default is active confirmation above a modest threshold (e.g. €50), both for good practice and to avoid card-scheme/PSD2 authorisation disputes.] Additional charges of this kind are separate from, and are not offset against, the cancellation-tier refunds described in the Refund & Cancellation Policy, Section 3, since they relate to services performed after a Match was confirmed, not to cancellation of the Booking.14. From Booking Request to Match Confirmation(a)Your contract with Kursago forms when you submit and pay for a Booking Request (Section 5). This is the Kursago Undertaking - Kursago is now obligated either to arrange a Match or to refund you in full.
(b)Kursago makes your Booking Request available to registered Service Providers in the relevant category (Section 10). Any eligible Service Provider may claim it.
(c)Match Confirmation. When a Service Provider claims your Booking Request, Kursago sends you a Match Confirmation identifying the Service Provider (or, where relevant, the individual Chauffeur) who will perform your Booking, and confirming final price and timing. From this point, the Service Provider is contractually bound to Kursago to perform the service (under the Terms for Service Providers / Terms for Chauffeurs/Drivers), and the cancellation terms in the Refund & Cancellation Policy, Section 3, begin to apply.
(d)If no Match is confirmed within the matching window described in Section 9 (no later than 48 hours before your scheduled departure/service time), Kursago will automatically refund your Prepayment in full, per the Refund & Cancellation Policy, Section 2a. You do not need to request this refund, though you may also cancel your Booking Request voluntarily before a Match is confirmed for the same result.
(e)We may decline to process a Booking Request, or reverse a Match, where we suspect fraud, where payment authorisation fails, or where a matched Service Provider turns out not to meet Kursago's licensing requirements (Section 12) before the service is performed; any payment already captured will be refunded per the Refund & Cancellation Policy.
15. During and After the ServiceIf an issue arises during your ride/rental (safety concern, no-show, vehicle/vessel condition, Chauffeur conduct, etc.), contact us at team@kursago.com as soon as possible. Kursago will mediate between you and the Service Provider and, where appropriate under the Refund & Cancellation Policy, instruct the Payment Facilitator to refund you from your Prepayment while it remains held in the segregated account, before it would otherwise be released to the Service Provider (Section 5(b)).16. Cancellations and RefundsCancellation terms, refund eligibility, and the mechanics of how refunds are processed (including for crypto payments) are set out in the separate Refund & Cancellation Policy, which is incorporated into and forms part of these Terms. Note that a refund for an unmatched Booking Request (Section 14(d)) is a straightforward contractual entitlement under the Kursago Undertaking, not a statutory withdrawal right - and separately, because Kursago's services fall within the category of "transport" and "hiring of means of transport" services with a specified date/period of performance, the standard EU 14-day withdrawal right for distance contracts does not apply to a confirmed Match under Article 16(l) of Directive 2011/83/EU. See the Refund & Cancellation Policy for the cancellation-tier rules that apply once a Match is confirmed.17. User ConductYou agree to provide accurate Booking and identity information; treat Assets and Service Providers with reasonable care and respect; comply with all laws applicable to your use of the Asset (traffic law, maritime law, aviation security rules, as applicable); and not use the Platform for any unlawful purpose. You are liable for damage to an Asset caused by your negligence or misuse during a self-drive Booking (Section 11), subject to the deposit/insurance terms shown on that listing.18. Reviews and RatingsIf the Platform allows Users to rate or review Service Providers (and vice versa), such Content must be honest, based on an actual Booking, and comply with Section 17. We may moderate or remove reviews that are abusive, fraudulent, or unrelated to the Booking experience.19. InsuranceInsurance arrangements vary by Asset category. Car Bookings with a Chauffeur are covered under the Service Provider's commercial vehicle insurance; self-drive boat Bookings are currently subject to the insurance limitations noted in Section 11. Once bikes and private jets are launched (Section 9), bike Bookings with a Chauffeur will be covered on the same basis as cars, and private jet charters will be covered under the operating carrier's AOC-mandated insurance. Kursago does not itself provide insurance coverage for Bookings unless expressly stated on a specific listing.20. Intellectual PropertyPlatform content (branding, design, text, and technology) is owned by or licensed to the Company. You may not scrape, reproduce, or use Platform content for any purpose beyond personal use of the booking service, or use it to train AI/machine-learning models without our prior written consent.21. LiabilityTo the maximum extent permitted by law:(a)Kursago is liable for failing to deliver the Kursago Undertaking itself - that is, for failing to arrange a Match where one was reasonably available, for the Platform's functioning, for accurate Booking Request information, and for its own conduct in handling payments as Commissionaire (Section 5). Where Kursago fails to arrange a Match, your remedy is the full refund described in Section 14(d) and the Refund & Cancellation Policy, Section 2a;
(b)Once a Service Provider is matched, Kursago is not liable for that Service Provider's acts, omissions, negligence, or non-performance in delivering the underlying rental or transport service, except to the extent such liability arises from Kursago's own fault (e.g., matching you with a Service Provider Kursago knew or should have known was not properly licensed) or cannot be excluded under mandatory Italian/EU consumer law. Your remedy for a matched Service Provider's non-performance is the refund/compensation process in the Refund & Cancellation Policy, Sections 5–8, which Kursago administers as Commissionaire, recovering the cost from the Service Provider on its own account rather than making your refund conditional on that recovery;
(c)nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.
Kursago does not select or route Booking Requests to particular Service Providers - every open Booking Request is published to a shared dashboard visible to all eligible, registered Service Providers simultaneously, and any of them may claim it on a first-come basis. Kursago exercises no discretion over who gets matched; this is closer to an open noticeboard than an algorithmic dispatch system.23. Force MajeureNeither Kursago nor a Service Provider is liable for delay or failure to perform due to events beyond reasonable control (weather affecting boat/jet bookings, air traffic control restrictions, government action, etc.). Affected Bookings are handled per the Refund & Cancellation Policy.24. Privacy and CookiesGoverned by the separate Privacy Policy and Cookie Policy, incorporated by reference.25. Complaints and ADRContact team@kursago.com with any complaint; we aim to acknowledge within 24 hours and resolve within 48 hours. EU-resident Consumers may use the Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.26. Entire Agreement, Severability, AssignmentThese Terms, together with the Refund & Cancellation Policy, Privacy Policy, and Cookie Policy, form the entire agreement between you and Kursago regarding Platform use. Invalid provisions are severed without affecting the rest. We may assign these Terms in connection with a corporate transaction, subject to your statutory protections being preserved.27. Governing Law and JurisdictionThese Terms are governed by Italian law. Disputes are subject to the exclusive jurisdiction of the courts of Milan, save where mandatory EU consumer law entitles you to bring proceedings in your own country of residence (Article 6, Regulation (EC) 593/2008, Rome I).28.
